These Terms of Service (“Terms”) apply to your use of newgroundsllc.com, operated by New Grounds LLC (“New Grounds,” “we,” “us,” or “our”). By using the website, you agree to these Terms. If you do not agree, do not use the website.
1. Who we are and what this site describes
New Grounds provides marketing and inquiry-support services for residential HVAC contractors, focused on new residential AC system installations. We are not an HVAC contractor, do not diagnose or repair equipment, do not perform installations, and do not dispatch technicians. The contractor handles property visits, estimates, job acceptance, dispatch, and HVAC work.
Website content is general business information. It is not legal, tax, financial, engineering, or HVAC advice, and it may not describe every feature or term of a particular engagement.
2. Client engagements and billing
A client engagement begins only under a separate written services agreement signed by the parties. That signed agreement controls the campaign scope, definition and exclusions for Billable Inquiries, fee, invoicing, dispute process, termination, approved follow-up, and each party’s responsibilities. If these website Terms conflict with a signed services agreement, the signed agreement controls for that client engagement.
For general reference, the current standard offer is $1 one-time onboarding and $150 per qualified new residential AC installation inquiry. A person reviews qualification each week before an itemized invoice. The client funds at least $4,000 per month in its own Google Ads account and pays Google directly. Replacements, furnaces, heat pumps, repairs, maintenance and commercial jobs are outside this offer. The signed agreement controls the full qualification, dispute and manual card-charge terms. Simply visiting this website does not create a payment obligation.
3. Your responsibilities when using the site
You agree to provide accurate information in forms and communications, use the site lawfully, and avoid actions that disrupt the site, compromise security, infringe another person’s rights, or attempt unauthorized access. Do not submit passwords, one-time codes, payment card details, recovery codes, or API secrets through our website forms.
4. Campaign communications and scheduling
Where a contractor has approved and configured an inquiry workflow, campaign forms may let a homeowner request or select an appointment time. An eligible unanswered campaign call may receive automated or AI-assisted follow-up for scheduling when the contractor has approved the workflow and required permissions, notices, and opt-out handling are in place. The HVAC contractor remains responsible for confirming availability, contacting the homeowner, attending the property, estimates, and the actual work.
5. Third-party services and links
The site or services may use or link to third-party platforms, including advertising, hosting, analytics, CRM, call routing, scheduling, communications, and payment providers. Those providers operate under their own terms and privacy notices. We do not control their availability, policies, or systems. Google advertising spend is paid directly by the contractor to Google when applicable.
6. Intellectual property
Unless stated otherwise, the site’s text, design, graphics, and branding belong to New Grounds or its licensors and are protected by applicable intellectual-property laws. You may view and use the site for its intended business purpose. You may not copy, republish, sell, or modify site materials for commercial use without permission, except where the law allows.
7. Availability and disclaimers
We may update, suspend, or discontinue site content or features. The site and its content are provided “as is” and “as available,” to the extent allowed by law. We do not promise uninterrupted access, error-free content, campaign volume, booked appointments, sales, revenue, advertising results, or a particular business outcome. Any service commitments must appear in the signed services agreement.
8. Limitation of liability
To the extent permitted by law, New Grounds is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of revenue, profits, data, or business opportunity arising from website use or inability to use it. Nothing in these Terms limits liability that cannot legally be limited. For a client engagement, any service-related liability limits in the signed agreement apply.
9. Privacy
Our Privacy Policy explains how information is handled. By using the site, you acknowledge that policy.
10. Governing law and updates
These website Terms are governed by Texas law, without regard to conflict-of-law rules. To the extent permitted by law, disputes about these website Terms will be brought in the state or federal courts serving Hays County, Texas. A signed client services agreement may set additional rules for disputes arising from that engagement.
We may revise these Terms by posting an updated version on this page. The effective date above identifies the current version. Continued use after an update means you accept the revised Terms, to the extent allowed by law.
